SEASON CO-OP USER AGREEMENT

LEGAL NOTICE

IMPORTANT: By accessing or using the SEASON CO-OP Portal, the User confirms that they have read, understood, and agreed to be legally bound by the terms of this User Agreement, including the SEASON CO-OP Terms of Use, GDPR Privacy Policy, Cookie Policy, and Community Guidelines.

1. INTRODUCTION and SCOPE

1.1 Parties

This Agreement governs the relationship between:
• SEASON CO-OP (operating under the legal trade name Season for Everything Portal Services L.L.C, License No. 1087466, Dubai, United Arab Emirates), and
• Users (individuals or businesses accessing the Portal).

1.2 Legal Framework

This Portal complies with data protection and platform regulations including:

  • United Arab Emirates: Federal Decree-Law No. 45/2021 (PDPL), DIFC DP Law No. 5/2020, ADGM Regulations.
  • European Union: GDPR (Regulation (EU) 2016/679).
  • GCC: Saudi PDPL (2023), Oman Sultani Decree No. 6/2022, Qatar Law No. 13/2016.

1.3 Acceptance of Terms

By using the Portal, Users confirm that they:
• Are 18 years or older (or meet the local age of majority).
• Agree to all terms of this Agreement, including the SEASON CO-OP Terms of Use, GDPR Privacy Policy, Cookie Policy, and Community Guidelines, each of which is incorporated herein by reference.

1.4 Binding Consent

By first accessing or using the Portal, the User provides binding consent to the processing of their personal data in accordance with SEASON CO-OP’s GDPR Privacy Policy and Cookie Policy. Continued use shall constitute reaffirmation of this consent.

2. TERMS OF USE

2.1 Portal Role

SEASON CO-OP, owned and operated by Season for Everything Portal Services L.L.C, is a technology platform and marketing intermediary only. It facilitates connections between Users and third-party Service Providers. All service fulfilment, cancellations, refunds, and liability reside with the respective Service Providers. SEASON CO-OP disclaims any responsibility for such services, per the SEASON CO-OP Terms of Use.

2.2 User Obligations

Users must:
• Not use VPNs to circumvent geo-restrictions (UAE Cybercrime Law Art. 12).
• Comply with applicable GCC E-Commerce Laws (e.g., Saudi Royal Decree No. M/126).

2.3 Prohibited Conduct

Users may not engage in:
• Money laundering or unlawful transactions (UAE AML Law No. 20/2018).
• Unauthorized scraping, crawling, or data extraction (GDPR Art. 5(1)(a)).

2.4 Intellectual Property

All content on the Portal is protected under copyright and intellectual property laws (UAE Federal Law No. 38/2021). Unauthorized use may result in legal action.

2.5 Disclaimers

• No Warranty: Services are provided “as is” without warranties of any kind (UAE Consumer Protection Law Art. 6).
• Liability Limitation: SEASON CO-OP’s liability is limited to fees paid (GDPR Art. 82).

3.4 Security Measures

4.2 Consent Management

• EU/GCC Users: Explicit opt-in via cookie banner.

5. COMMUNITY GUIDELINES

Users agree to:
• Respect others and avoid hate speech, bullying, or misinformation.
• Post lawful, accurate, and non-explicit content.
• Not share others’ personal data without consent.
• Comply with UAE Federal Law and GCC regulations.

Violations may result in account suspension, reporting to authorities, or legal action.

6. GCC-SPECIFIC PROVISIONS

6.1 Saudi Arabia

Complaints may be submitted to SDAIA (Saudi Data and AI Authority).

6.2 Qatar

Data localization is required for government contracts (Law No. 13/2016).

6.3 Oman

Breach notifications must be made to the Data Protection Authority (Sultani Decree No. 6/2022).

7. GENERAL TERMS

7.1 Governing Law

• Primary jurisdiction: United Arab Emirates Federal Law (Dubai Courts).
• EU Users: May lodge complaints with home supervisory authority.

7.2 Dispute Resolution

• Mediation: 30-day cooling-off period (UAML).
• Arbitration: All cross-border disputes shall be resolved via DIFC-LCIA arbitration.

7.3 Amendments

Users will be notified via email 30 days prior to material changes to this Agreement.

7.5 Precedence Clause

In the event of any inconsistency between this Agreement and the SEASON CO-OP Terms of Use, Privacy Policy, or Cookie Policy, this Agreement shall prevail unless expressly stated otherwise.
